These Terms of Service ("Terms") govern access to and use of Revisr, an online proofing and creative review platform (the "Service") provided by Revisr LLC, an Illinois limited liability company ("Revisr," "we," "us," or "our"). By creating an account, accessing a review link, or otherwise using the Service, you ("you," "User," or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

1. The Service
Revisr is a SaaS platform for creative review and file proofing. It allows Users to submit materials for review — including uploaded files (PDFs, images, video, and presentations), connected Figma files via an access token, website staging links, and raw HTML/JavaScript — into structured Projects and Reviews. Users can invite collaborators and clients to leave feedback and annotations, and track revisions across review rounds. Client reviewers may access shared review links without creating a separate Revisr account, subject to the access controls set by the User who shared the link.

Where you connect a third-party service (such as Figma) via an access token, you authorize Revisr to use that token solely to retrieve the specific files or content needed for the review you create. You are responsible for the scope of access granted by any token you provide and for revoking it when it is no longer needed.

2. Accounts and Eligibility

• You must provide accurate, current information when creating an account and keep it up to date.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

• You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

• You are responsible for the conduct of any team members, guests, or clients you invite into your Projects.

3. Subscriptions, Billing, and Payment
Revisr offers free and paid subscription plans, as described on our pricing page. Paid subscriptions are billed in advance on a monthly or annual basis and automatically renew unless cancelled prior to the renewal date.

Payments are processed by Stripe, our third-party payment processor. Revisr does not store your full payment card details — that information is collected and processed directly by Stripe in accordance with its own terms and privacy policy. By subscribing to a paid plan, you agree to Stripe's terms of service in addition to these Terms.

• Fees are non-refundable except as required by law or as expressly stated in these Terms.

• We may change our pricing with reasonable advance notice; continued use after a price change constitutes acceptance.

• You are responsible for any taxes associated with your use of the Service, other than taxes based on our net income.

4. Your Content
"Your Content" means the files, images, video, Figma files accessed via a connected token, website staging links, raw HTML/JavaScript, comments, annotations, and other materials that you or your invited collaborators and clients upload, connect, or generate within the Service.

• You retain all ownership rights in Your Content. We do not claim ownership over anything you upload.

• You grant Revisr a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, display, and process Your Content solely as necessary to operate, maintain, and provide the Service to you and the collaborators or clients you invite (for example, generating thumbnails, video proxies, or PDF renders).

• You represent that you have all rights necessary to upload Your Content and to grant the license above, and that Your Content does not infringe any third party's rights.

• We may remove or disable access to any content that we reasonably believe violates these Terms or applicable law.

5. AI-Assisted Features
Revisr offers optional AI-assisted features (for example, summarizing feedback or assisting with review workflows). These features are currently powered by Google's Gemini models. When you use an AI-assisted feature, the relevant content is sent to our AI provider for processing in order to generate the requested output.

• AI-assisted features are provided as a convenience and may produce inaccurate, incomplete, or unexpected results. You are responsible for reviewing any AI-generated output before relying on it.

• We may change, add, or discontinue AI-assisted features, or change the underlying AI provider, at any time.

• Content submitted to our AI provider is processed subject to that provider's applicable data processing terms and is not used to train the provider's foundation models where the provider offers that protection under its enterprise/API terms.

6. Client Reviewers and Link-Based Access
Users may share review links that allow clients or collaborators to view files and submit feedback without creating a Revisr account. Users are responsible for controlling who they share review links with, and for any consequences of unauthorized access resulting from sharing a link. Revisr is not responsible for the accuracy or appropriateness of feedback submitted by client reviewers.

7. Acceptable Use
You agree not to:

• Upload content that is unlawful, infringing, defamatory, or that you do not have the right to share;

• Use the Service to distribute malware, spam, or engage in phishing;

• Attempt to gain unauthorized access to other accounts, Projects, or Revisr systems;

• Reverse engineer, scrape, or resell the Service without our written permission;

• Interfere with or disrupt the integrity or performance of the Service.

We may suspend or terminate accounts that violate this section.

8. Third-Party Service Providers
We rely on trusted infrastructure providers to operate the Service, including cloud hosting and backend infrastructure (Firebase), payment processing (Stripe), and transactional email delivery (Mailgun), along with our AI provider (Google Gemini) described in Section 5. These providers process data only as necessary to help us operate Revisr — not to resell or independently exploit your data. 9. Data Security
We use industry-standard encryption to protect data in transit and files at rest. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials, any third-party access tokens (such as a Figma access token) you provide, and any staging links you share.

Raw HTML/JavaScript and website staging links submitted for review are rendered in an isolated environment for preview and annotation purposes. You are responsible for ensuring that any code or staging link you submit does not contain malicious content; we may remove or disable access to any submission that poses a security risk to the Service or other Users.

10. Intellectual Property
The Service, including its software, design, branding, and underlying technology (excluding Your Content), is owned by Revisr LLC and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you in the Service.

11. Term, Suspension, and Termination

• You may stop using the Service or cancel your subscription at any time through your account settings.

• We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the security or integrity of the Service.

• Upon termination, your right to use the Service ends immediately; certain provisions of these Terms (including ownership, disclaimers, limitation of liability, and dispute resolution) survive termination.

• We may retain or delete Your Content following termination in accordance with our Privacy Policy and applicable law.

12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI-ASSISTED FEATURES WILL BE ACCURATE.

13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVISR LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO REVISR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification
You agree to indemnify and hold Revisr LLC harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, and you consent to personal jurisdiction there.

16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as posting an update with a new "Last Updated" date, or notifying you by email). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
